These User Agreements apply to Forward Flow, LLC Inc. online and mobile sites and apps on which these User Agreements are posted. Our User Agreement is a contract for the Forward Flow, LLC's use of Forward Flow, LLC's offerings.
Our contact form allows Forward Flow, LLC's team to obtain your contact information for Forward Flow, LLC's team to contact the user about the purchase of Forward Flow, LLC's products or services. Our team will reach out to the user and discuss options including payment methods, subscription terms, and products purchased.
You agree that by clicking "Sign Up", "Get Started", or registering, accessing, or using Forward Flow, LLC's offerings, as defined below, you are entering into a legally binding agreement. If you do not agree to this Agreement, do NOT click "Sign Up", "Get Started" (or similar), and do not access or otherwise use any of Forward Flow, LLC's offerings.
We reserve the right, in Forward Flow, LLC's sole discretion, to modify or replace any of these User Agreements or change, suspend, limit, or discontinue the offerings (including, without limitation, the availability of any feature, database, or content) at any time. If Forward Flow, LLC's organization deems any modification or update to these User Agreements are material, Forward Flow, LLC's organization will post a notice on the Site or send the user notice by another appropriate means of electronic communication. It is your responsibility to check these User Agreements periodically for changes. Your continued use of the offerings following posting or notification of any changes to these User Agreements constitutes acceptance of those changes.
The following terms are defined for the purpose of this Agreement:
To utilize certain offerings, the user will be required to register for an account. You must provide accurate and complete information and keep your Account information updated.
You are solely responsible for the activity that occurs on your Account and for keeping your Account password secure. You may never use another person's user account or registration information for the offerings. You must notify Forward Flow, LLC's team immediately of any change in your eligibility to use the offerings, any breach of security, or any unauthorized use of your Account. You should never publish, distribute, or post login information for your Account.

You must provide accurate and complete information when registering your Member Account and using the offerings, to which you are the sole and exclusive rights holder. You represent and warrant that:
you are at least eighteen (18) years of age and that you have the right, authority, and capacity to enter into, perform your obligations under, and abide by these User Agreements. If you are under the age of 18, you may not, under any circumstances or for any reason, use the offerings;
you are not (a) a resident of (nor will you use the offerings in) any country that the U.S. government has imposed embargo sanctions for use of the offerings, (b) named on the U.S. Treasury Department's list of Specially Designated Nationals or any other applicable trade sanctioning regulations;
you will fully comply with all applicable laws and agreements which govern your use of the offerings.
You acknowledge and agree that Forward Flow, LLC's organization shall determine the means, manner, and method for performing the offerings, including those regarding the hosting, transmission, publication and/or display of any Member platforms and/or Member Content (including the inclusion and presentation of any advertisements or other commercial content with respect thereto).
When accessing Forward Flow, LLC's offerings, you undertake and agree NOT to:
You acknowledge and agree that your failure to abide by any of the foregoing or any misrepresentation made by you may result in the immediate termination of your Member Account and/or any offerings provided to you, with or without further notice to you, and without any refund of amounts paid on account of any such offerings.
Forward Flow, LLC provides a suite of offerings designed to help real estate professionals manage leads, automate communications, and grow their business. Offerings include, but are not limited to, the Forward Flow CRM, AI-powered lead engagement tools, automated follow-up systems, and related integrations.
Forward Flow, LLC reserves the right to modify, update, or discontinue any offerings at any time, with or without prior notice. We will make commercially reasonable efforts to notify Members of any material changes to offerings that may affect their subscription.
The availability of certain offerings may vary depending on your subscription plan, geographic location, and applicable third-party integrations. Forward Flow, LLC does not guarantee that all offerings will be available to all Members at all times.
Forward Flow, LLC provides support offerings to assist Members with the use of the platform. Support may include email support, in-app chat, knowledge base resources, and onboarding assistance, depending on your subscription plan.
Support is available during standard business hours unless otherwise specified in your Subscription Agreement. Forward Flow, LLC will use commercially reasonable efforts to respond to support inquiries in a timely manner but does not guarantee specific response times unless explicitly stated in a service level agreement.
Forward Flow, LLC reserves the right to modify the scope and availability of support offerings at any time. Premium or enhanced support options may be available as Add-Ons for an additional fee.
By subscribing to Forward Flow, LLC's offerings, you agree to pay all applicable fees as described in your Subscription Agreement. Fees are billed on a recurring basis (monthly or annually, as selected) and are due in advance of each billing period.
All fees are non-refundable except as expressly set forth in this Agreement or as required by applicable law. Forward Flow, LLC reserves the right to change pricing at any time, provided that any price increases will be communicated to you at least 30 days prior to taking effect.
You are responsible for providing accurate and up-to-date payment information. If payment cannot be processed, Forward Flow, LLC may suspend or terminate your access to the offerings until payment is received. Late payments may be subject to interest charges or late fees as permitted by applicable law.
Additional charges may apply for usage-based features, including but not limited to token consumption for AI lead engagement. Please refer to the Token Usage Policy for details on token-based billing.
All intellectual property rights in and to the offerings, including but not limited to software, designs, text, graphics, logos, icons, and the overall look and feel of the platform, are and shall remain the exclusive property of Forward Flow, LLC or its licensors.
You retain ownership of all Member Content that you submit, upload, or otherwise make available through the offerings. By submitting Member Content, you grant Forward Flow, LLC a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the offerings to you.
You represent and warrant that you have all necessary rights and permissions to submit any Member Content and that such content does not infringe upon the intellectual property rights or other rights of any third party.
Upon cancellation or termination of your subscription, Forward Flow, LLC may permanently delete your account data, Member Content, configurations, and any other information associated with your account. Forward Flow, LLC is under no obligation to retain any data after the termination of your subscription.
You are solely responsible for exporting or backing up any data you wish to retain prior to the cancellation or expiration of your subscription. Forward Flow, LLC will make commercially reasonable efforts to provide data export options during your active subscription period.
Forward Flow, LLC shall not be liable for any loss of data, content, or capacity resulting from the cancellation or termination of your account, whether initiated by you or by Forward Flow, LLC.
The offerings may integrate with or provide access to third-party services, applications, and websites ("Third-Party Offerings"). These Third-Party Offerings are not under the control of Forward Flow, LLC, and we are not responsible for their content, functionality, privacy practices, or availability.
Your use of any Third-Party Offerings is subject to the terms and conditions and privacy policies of those third parties. Forward Flow, LLC does not endorse, warrant, or guarantee any Third-Party Offerings and shall not be liable for any damages or losses arising from your use of such services.
Forward Flow, LLC may modify, add, or remove integrations with Third-Party Offerings at any time without prior notice.
Forward Flow, LLC is committed to the principles of the Fair Housing Act and supports equal housing opportunity. All Members must comply with applicable federal, state, and local fair housing laws when using the offerings.
You agree not to use the offerings in any manner that discriminates against any person or group based on race, color, religion, sex, national origin, familial status, disability, or any other protected class under applicable law.
Forward Flow, LLC reserves the right to suspend or terminate the account of any Member found to be in violation of fair housing laws or engaging in discriminatory practices through the use of our platform.
Forward Flow, LLC respects the intellectual property rights of others and expects its Members to do the same. If you believe that any content on the platform infringes upon your copyright, you may submit a notice of claimed infringement in accordance with the Digital Millennium Copyright Act (DMCA).
To file a DMCA notice, please provide the following information to our designated copyright agent: (i) a description of the copyrighted work you claim has been infringed; (ii) a description of where the infringing material is located on the platform; (iii) your contact information; (iv) a statement that you have a good faith belief that the use is not authorized; (v) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf; and (vi) your physical or electronic signature.
Forward Flow, LLC may remove or disable access to content that is alleged to be infringing and may terminate the accounts of repeat infringers. Please direct DMCA notices to support@forward-flow.com.
Either party may terminate this Agreement at any time by providing written notice to the other party. You may cancel your subscription by contacting Forward Flow, LLC support or through your account settings. Cancellation will take effect at the end of the current billing period.
Forward Flow, LLC reserves the right to suspend or terminate your account immediately, without prior notice, if: (i) you breach any provision of this Agreement; (ii) you fail to pay any fees when due; (iii) your use of the offerings poses a security risk to the platform or other users; or (iv) continued provision of offerings to you is prohibited by applicable law.
Upon termination, your right to access and use the offerings will cease immediately. Sections of this Agreement that by their nature should survive termination shall remain in effect, including but not limited to provisions regarding ownership, indemnification, limitation of liability, and governing law.
Forward Flow, LLC is committed to protecting your privacy. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into this Agreement by reference. By using the offerings, you consent to the practices described in the Privacy Policy.
You acknowledge that Forward Flow, LLC may collect and use certain data related to your use of the offerings for the purposes of improving the platform, providing support, and fulfilling our obligations under this Agreement. For more information, please review our Privacy Policy.
You agree to indemnify, defend, and hold harmless Forward Flow, LLC, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) your use of the offerings; (ii) your violation of this Agreement; (iii) your violation of any applicable law or regulation; (iv) any Member Content you submit or make available through the offerings; or (v) your infringement of any intellectual property or other rights of any third party.
Forward Flow, LLC reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate with Forward Flow, LLC in asserting any available defenses.
THE OFFERINGS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FORWARD FLOW, LLC DOES NOT WARRANT THAT THE OFFERINGS WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
FORWARD FLOW, LLC MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT, DATA, OR INFORMATION PROVIDED THROUGH THE OFFERINGS. YOUR USE OF THE OFFERINGS IS AT YOUR SOLE RISK.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH CASES, THE WARRANTIES ARE LIMITED TO THE MINIMUM EXTENT PERMITTED BY APPLICABLE LAW.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FORWARD FLOW, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE OFFERINGS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.
IN NO EVENT SHALL FORWARD FLOW, LLC'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO FORWARD FLOW, LLC DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the state or federal courts located in El Paso County, Colorado, and you hereby consent to the personal jurisdiction and venue of such courts.
You agree that any dispute arising out of or relating to this Agreement shall first be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiation, either party may pursue legal remedies in accordance with this section.
This Agreement, together with the Privacy Policy, Token Usage Policy, and any applicable Subscription Agreement, constitutes the entire agreement between you and Forward Flow, LLC with respect to the offerings and supersedes all prior or contemporaneous communications and proposals, whether oral or written.
If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect. The failure of Forward Flow, LLC to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
You may not assign or transfer this Agreement or any rights or obligations hereunder without the prior written consent of Forward Flow, LLC. Forward Flow, LLC may assign this Agreement without restriction. This Agreement shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
You are solely responsible for your interactions with other Members and users of the offerings. Forward Flow, LLC shall not be liable for any disputes, claims, or damages arising from interactions between users of the platform.
Forward Flow, LLC reserves the right, but has no obligation, to monitor or mediate disputes between users. If a dispute arises between you and another user, you agree to release Forward Flow, LLC from any and all claims, demands, and damages of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.
The headings in this Agreement are for convenience only and shall not affect the interpretation of this Agreement. The use of the word "including" in this Agreement shall be interpreted to mean "including, without limitation."
Any notices required or permitted under this Agreement shall be in writing and shall be deemed effective upon delivery when sent by email to the address associated with your account or, in the case of notices to Forward Flow, LLC, to support@forward-flow.com.
No agency, partnership, joint venture, or employment relationship is created as a result of this Agreement, and neither party has any authority to bind the other in any respect.
